Bio

Marcela counsels clients in all aspects of corporate transactions including navigating the nuances of mergers and acquisitions, securities law disclosure and compliance, technology transactions, and general corporate matters. Marcela’s experience includes structuring various types of transactions such as structured financings, purchase and sale transactions, and forming private equity funds.

She also counsels emerging companies on their intellectual property including intellectual property strategy, registration, protection and enforcement; developing intellectual property licensing and transfer agreements; developing and negotiating service-level agreements; and developing website policies and agreements, such as privacy policies, terms of use, and end user agreements.

Marcela excels at seeing the big picture and advising clients on the intersection of law and business, including the issues emerging companies face in the initial stages of financing, private placements, and mergers and acquisitions. She is also fluent in Spanish.

Before joining Fairfield & Woods, Marcela focused on corporate law at the University of Colorado Law School, including the types of issues most commonly faced by emerging companies. She took on various leadership roles, including a student attorney for the Entrepreneurial Law Clinic, running University of Colorado’s Transactional Division, running the Spanish Speaking Law School Student Association, and leading a regional title-winning M&A transactional team.

Outside of her practice, she is involved in developing programs that focus on inclusion and diversity, namely increasing opportunities for female entrepreneurs through the Innosphere and TrueSpace.
